HEAVENLY HEARTS International Dating Marriage Agency (http://www.heavenlyhearts.net) will hereunto be referred to as “HEAVENLY HEARTS”. “We” and “Us” refers to HEAVENLY HEARTS. “You”, “Your” and Their” refers to you, otherwise known as the person making this Affiliation Registration application. “Affiliation” refers holistically to the HEAVENLY HEARTS Affiliation Initiative as undertaken and presented by HEAVENLY HEARTS.

By agreeing to the enclosed Terms & Conditions You agree with and are consenting to be be bound by said Terms & Conditions as well as any renewed versions thereof, as will be published on the HEAVENLY HEARTS web site or as may be otherwise notified to you by HEAVENLY HEARTS

1. General Provisions

1.1. Any owner of an on-line web site, webmaster or someone who is deemed to be legally in possession of an on-line web site and who is18 years of age or older, may submit an application to become an Affiliate of HEAVENLY HEARTS via the on-line HEAVENLY HEARTS Affiliate Registration Form, providing also that they meet the criteria determining suitable web site content for those who are accepted as an Affiliate of HEAVENLY HEARTS. Unacceptable web site content includes, endorses or promotes illegalities of any kind, violence and pornography, or has published content that is deemed by HEAVENLY HEARTS to be inappropriate for the purposes of Affiliation.

1.2. It is at HEAVENLY HEARTS’ sole discretion as to whether or not Your application will be approved and/or whether or not Your on-going status as an approved participant will be revoked. If, at any stage, HEAVENLY HEARTS determines that Your web site or Your participation in the HEAVENLY HEARTS Affiliation Initiative is not in keeping with or contravenes the enclosed Terms and Conditions for any reason whatsoever, We have the option of terminating Your Affiliation inclusion and participation at any time without prior warning or notification. HEAVENLY HEARTS will endeavour to resolve any issues that may prompt disapproval and removal from Affiliation, but can give no guarantees as to the outcome of any resolution process.

1.3. You acknowledge and agree that Your use of all HEAVENLY HEARTS Promotional Material, whether on or off-line, will be at Your own risk and account. You agree to indemnify, defend and hold HEAVENLY HEARTS, its owners, its Affiliates and the HEAVENLY HEARTS Staff harmless from and against any and all liability and costs, including reasonable attorneys’ fees incurred by said parties, in connection with or arising out of (a) Your use of the HEAVENLY HEARTS Promotional Material on or off-line, or (b) any breach of violation of the terms and conditions herein outlined and agreed to by you.

1.4. It is not permissable to use HEAVENLY HEARTS Promotional Material in any deceptive way in order to acquire referral commissions. Any Affiiliate found to be employing methods deemed by HEAVENLY HEARTS to be deceitful or not in keeping with Affilition as outlied in this document, will, at the sole discretion of HEAVENLY HEARTS, have their Affiliation Status terminated and their pending referral commission forfeited.

1.5. You will not harm, misuse or bring into disrepute HEAVENLYHEARTS and the services of HEAVENLYHEARTS, on the contrary, You will maintain the value and reputation thereof to the best of Your abilities. Therefore, You will not at any time publish or link HEAVENLYHEARTS Promotional Material to any unlawful, criminal, illegal or immoral content on or off Your website and will furthermore refrain from any acts that may be infringing on intellectual property rights or any other third party rights, or that may be unlawful or that constitute an offence.

1.6. HEAVENLY HEARTS reserves the right to modify the stated Terms and Conditions at any time. HEAVENLY HEARTS will not be liable in relation to any damage caused by the modification of these Terms and Conditions and/or the termination thereof. Remaining as an Affiliate will be taken as an admission that you are in agreement with any aforesaid modification of the Terms and Conditions. If You no longer wish to be a HEAVENLY HEARTS Affilite under the modified Terms and Conditions, you must state this to Us in writing, discontinue your participation and remove all HEAVENLY HEARTS Promotional Material from Your web site upon cessation of your participation as an Affiliate.

1.7. Your Status as an Affiliate will come into affect when Your Affiliate Registration Apliccation has been approved and You have subsequently received an Affiiate conformation email from Us. Termination of Your Affiliate Status will come into affect when either HEAVENLY HEARTS or You receive from the other party written notification to this effect. Both HEAVENLY HEARTS and You may nominate to terminate Your affiliation at any time and for any reason. As a consequence of having Your HEAVENLY HEARTS Affiliation Status terminated, You must discontinue your participation and remove all HEAVENLY HEARTS Promotional Material from Your web site upon cessation of Your participation as an Affiliate. Referred Commissions owed to You may be forfeited as a result of Your Affiliate Status being terminated.

1.8. HEAVENLY HEARTS accepts no responsibility for the on-going maintenance of Your web site in any capacity. You will bear sole responsibility for, but not limited to the following:

I. Ensuring that all materials posted on your site are not libelous or otherwise illegal. HEAVENLY HEARTS disclaims all liability for these matters.

II. The presentation, accuracy and appropriateness of ALL materials posted on your site.

III. The technical and financial operation of your site and all related equipment.

IV. Ensuring that all materials posted on your site do not violate or infringe upon the rights of any third party for any reason.

You agree to indemnify, defend and hold HEAVENLY HEARTS, its owners, its Affiliates and the HEAVENLY HEARTS Staff harmless from and against any and all liability and costs, including reasonable attorneys’ fees incurred by said parties, in connection with or arising out of the maintenance, development, operation and/or contents of Your web site.

1.9. HEAVENLY HEARTS, the owners, employees or associates of HEAVENLY HEARTS shall not be held liable or responsible for any direct, indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising from your being accepted by HEAVENLY HEARTS as an Affiliate, even if HEAVENLY HEARTS has been advised of the possibility of such damages.

2. Intellectual Property Rights

2.1. All intellectual property rights (including but not limited to trademarks, copyrights and patents) relating to HEAVENLY HEARTS and the HEAVENLY HEARTS Network are the exclusive ownership of HEAVENLY HEARTS. Nothing in this Agreement intends any transfer of any intellectual property right, or to vest any intellectual property right with You.

2.2. You are not allowed to register any trade names, trademarks, logos, domain names or any other names or signs similar to HEAVENLY HEARTS’ intellectual property rights, including but not limited to the HEAVENLY HEARTS Promotional Materials.

3. Affiliation Procedure

Once Affiliation approval has been granted, You will be sent written correspondence by email message to Your registered email address confirming your registration and giving You further details on Your Affiliate Status. As an approved affiliate, HEAVENLY HEARTS will provide You with access to a selection of banners/links for You to incorporate prominently on Your web site. You are required to follow link acquisition procedure in order to correctly ensure that a referral banner/link is implemented and refers traffic to correct the desination via the aforesaid banner/link. Whenever You log-in to your Affiliate Account, You will be recognized as a unique and individual user. When You undertake to place Our banner/links on your site, Our programming will generate a unique Affiliate URL Code for each and every single banner or text link You acquire to place prominently on Your web site. You must ensure that you implement only banners/links that you have acquired from Us as a registered Affiiate, such banners/links will have been specifically coded to recognize You as the Affiiate who has reffered traffic that culminated in the purchase of a service(s) from Us. Commisions payable to You are only deemed legitimate if they utlize said coded banners/links generated by Us.

HEAVENLY HEARTS is not liable to pay any referral commission arising from banners/links that have not been generated by Us or commissions that are bleieved to be owed to You, as an Affiiate, due to Your failure to properly implement upon Your web site said coded banners/links generated by Us in the proper manner as outlined in this document.

4. Payment of Comissions

4.1. In accordance with Your participation as a registered Affiliate in the HEAVENLY HEARTS Affiliate Initiative, HEAVENLY HEARTS agress to pay You a specified commision for reffering traffic to our web site via the uniquely-coded Affiliate URL banner/link You acquired from Us that currently maintains a prominent placing upon you web site. Said referred traffic (the buyer) to our web site from the aforesaid uniquely-coded Affiliate URL banner/link must register as a Member of HEAVENLY HEARTS and subsequently purchase services from our web site in order for you to qualify for a referred commission. The referred commission rate for Affiliates is 30% of the realized purchase price of services purchased from HEAVENLY HEARTS.

4.2. Tieired Affiliates will be entitled to receive a further commision from all base commissions received by those that they themselves have referred to us as potential Affiiates and who have registered and are deemed by HEAVENLY HEARTS to have been granted Affiiate Status. The commision rate for Tiered Affiiates is 5% of the commission realized by the Affiliate through whose referred traffic a sale was made from HEAVENLY HEARTS.

4.3. Referred commissions, these being commissions earned from generated traffic (having been referred to Us from Your web site via our unique banners/links) identified as Registered HEAVENLY HEARTS Members making purchases, are made in the from of United States dollars solely. Referred commissions will be paid on a monthly basis commencing from a stipulated date as agreed to by You and HEAVENLY HEARTS. The minimum comission payment allowable in order to be paid each month must be no less than $100.00 US. Should an Affilite’s referred commission amount be less than $100.00, then said Affiliate will be paid Their commission on the next successive monthly payment date providing the amount reaches the stipulated minimum of $100.00 US. HEAVENLY HEARTS acknowledges no futher responsiblility relating to the sum paid to the Affiiate as referred commission once siad commission has been paid to the recipient.

4.4. HEAVENLY HEARTS reserves the right to alter or modify payment dates should the need arise.

5. HEAVENLY HEARTS/Affiliate Relationhip

5.1. HEAVENLY HEARTS shall be deemed and remain a separate entity from You. No provision is made for facilitating any form of joint relationship with You. HEAVENLY HEARTS is not to be considered or limited to be being considered as as Your partner, associate, agent, lessor, sales representative, employer or employee, or the like. As an independent entity You will have no authority whatsoever to in any way act for or on behalf of HEAVENLY HEARTS in any spoken, written or otherwise capacity. Your are not to speak or write anything defamatory or derogatory about HEAVENLY HEARTS. HEAVENLY HEARTS reserves the right to refer to you, your web site and web site URL in conjunction with promoting your participation in our Affiliation Initiative. This reference can taken any reaonable written or spoken form.

5.2. In being accepted as a HH affiliate you are granted a non-exclusive, revocable right to use HEAVENLY HEARTS Promotional Material only in conjunction with your paricipation as a registered HEAVENLY HEARTS Affiliate. Said Promotional Material refers to, but is not limited to, any images, pictures, logos, photo’s, banners or represenative material bearing any reference to HEAVENLY HEARTS. You may not , in any way, alter said Promotional Material. We reserve all rights in terms of images, pictures, logos, photo’s, banners, graphic images and texts, our trade names and trademarks, and all other intellectual property rights. We may choose to revoke your right to use Our Promotional Material at any time by giving you written notice.

6. Disclaimer

HEAVENLY HEARTS, the owners, employees or associates of HEAVENLY HEARTS make no express or implied warranties or representations with regards to Affiliation or any services provided by HEAVENLY HEARTS (including, without limitation, warranties of usability, accuracy, timeliness, or fitness for a particular purpose). In addition, we make no representation that the functioning of our web site (http://www.heavenlyhearts.net) or a web site from the HEAVENLY HEARTS Network will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

7. Reservation of Rights

All rights that are not granted or indicated within this document are strictly reserved.

YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THIS DOCUMENT AND UNDERSTAND THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN. BY ACCEPTING THE TERMS AND CONDITIONS CONTAINED HEREIN YOU EXPRESSLY CONSENT TO BE BOUND BY SAID TERMS AND CONDITIONS AND GRANT TO HEAVENLY HEARTS THE RIGHTS SET FORTH HEREIN.
